Terms of Service

By accessing or using the GridHand AI platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Service. These Terms constitute a legally binding agreement between you ("Client") and GridHand AI LLC, a Wisconsin limited liability company.

GridHand AI provides AI-powered automation workers for small and medium-sized businesses. Our workers handle tasks including customer follow-up, review collection, appointment reminders, invoice follow-up, and lead engagement via SMS and other channels. Workers are AI systems — they are not human employees or contractors.

All automated communications sent by GridHand AI workers are generated by artificial intelligence. Your customers may interact with AI systems that respond on behalf of your business. You are responsible for disclosing to your customers that they may be communicating with an AI system where required by applicable law. GridHand AI will include standard opt-out language ("Reply STOP to opt out") in all outbound SMS messages.

You agree that: (a) You will only use GridHand AI to contact individuals who have an existing business relationship with you or who have provided express consent to receive communications from your business. (b) You will comply with all applicable laws governing electronic communications, including the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and any applicable state laws. (c) You will promptly honor all opt-out requests. GridHand AI processes "STOP" replies automatically, but you are ultimately responsible for maintaining accurate opt-out records. (d) You will not use the Service to send spam, unsolicited communications, or messages to individuals who have not given appropriate consent. You agree to indemnify and hold GridHand AI LLC harmless from any claims, fines, or penalties arising from your violation of applicable communication laws.

You must provide accurate, current, and complete information when registering for an account. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree not to use the Service to: (a) Violate any applicable law or regulation (b) Send communications to individuals without appropriate consent (c) Harass, threaten, or deceive customers or third parties (d) Transmit malicious code or interfere with the Service (e) Resell or sublicense access to the Service without our written consent (f) Use the Service for any purpose that is unlawful or prohibited by these Terms

GridHand AI charges a monthly subscription fee based on your selected plan. Fees are billed in advance at the beginning of each billing period. All fees are non-refundable except as required by law. We reserve the right to change pricing with 30 days written notice. Failure to pay may result in suspension or termination of your account. All payments are processed by Stripe and subject to their terms of service.

We strive to provide reliable service but do not guarantee 100% uptime. We are not liable for any downtime, service interruptions, or failures of third-party providers (including Twilio, Stripe, or AI providers). We reserve the right to suspend the Service for maintenance or upgrades with reasonable notice where practicable.

Your use of the Service is also governed by our Privacy Policy, incorporated herein by reference. You grant GridHand AI LLC a limited license to process your business data and your customers' contact information solely to provide the Service. We do not sell your data or your customers' data to third parties.

The GridHand AI platform, including all software, designs, worker logic, and brand assets, is owned by GridHand AI LLC and protected by intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable license to use the Service for your business. You retain ownership of your business data.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, GRIDHAND AI LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 90 DAYS PRECEDING THE CLAIM.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. GRIDHAND AI LLC DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT AI-GENERATED COMMUNICATIONS WILL BE ACCURATE OR APPROPRIATE FOR EVERY SITUATION. YOU USE THE SERVICE AT YOUR OWN RISK.

You agree to defend, indemnify, and hold harmless GridHand AI LLC and its officers, members, employees, and agents from and against any claims, damages, costs, and expenses (including reasonable attorneys' fees) arising from: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law; or (d) any claim by a third party resulting from communications sent through the Service on your behalf.

Either party may terminate these Terms at any time. You may cancel your subscription through your account dashboard. We may suspend or terminate your account immediately if you breach these Terms or engage in conduct that we determine, in our sole discretion, is harmful to the Service or other users. Upon termination, your right to use the Service ceases immediately.

These Terms are governed by the laws of the State of Wisconsin, without regard to conflict of law principles. Any dispute arising from these Terms shall be resolved exclusively in the state or federal courts located in Wisconsin, and you consent to personal jurisdiction in such courts.

We may update these Terms at any time. We will notify you of material changes by email or by posting a notice in your dashboard. Continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.
